Electronic signatures for contracts: which type you need and where paper is still required
Printing, signing, scanning and sending back costs days and loses deals. Electronic signatures speed this up, but not every signature is enough for every document. The EU eIDAS Regulation distinguishes three levels, and German law requires paper or the highest level for a few documents.
Three levels of electronic signature
A simple electronic signature can be a typed name or a click. An advanced signature is uniquely linked to the signer and detects later changes. A qualified electronic signature is based on a qualified certificate and has the same legal effect as a handwritten signature throughout the EU (Art. 25 eIDAS).
Most contracts have no form requirement
In Germany, most contracts can be concluded without any particular form, so a simple or advanced signature is enough as evidence. Typical cases:
- Quotes and orders for services, such as a website or catering for an event.
- Hotel group bookings and event contracts with companies.
- Framework agreements with suppliers.
- Non-disclosure agreements.
Where written form applies
Where the law requires written form, an electronic document only replaces it with a qualified electronic signature (§ 126a BGB). For some documents, the electronic form is excluded entirely: the termination of an employment contract, for example, must be signed on paper (§ 623 BGB). If in doubt, check the form requirement before choosing a tool.
Choosing a tool
Look for providers that offer qualified signatures when needed, store data in the EU, provide a data processing agreement and keep an audit trail of who signed what and when. Integration with your CRM or quote tool saves the most time.
Automate the whole process
The real gain comes when the signature is part of the process: the quote is generated from the CRM, sent for signature, and once signed, the project is created, the invoice prepared and the team informed. We connect signature tools to CRM, accounting and project management; tell us your current process, and you will receive a fixed price.
Frequently asked questions
- Is a contract signed electronically legally binding?
- Yes, as long as the law does not require a specific form. The higher the signature level, the easier it is to prove who signed.
- Do we need a qualified signature for B2B quotes?
- Usually not. A simple or advanced signature with an audit trail is enough for most commercial contracts.
- Can employment contracts be signed electronically?
- Many can, but terminations must be on paper, and some clauses have special form rules. Check with an employment law adviser.
